These Terms of Service ("Terms") govern your use of the AskABD Technologies website and services. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

AskABD Technologies provides software development, consulting, and digital transformation services including but not limited to:

• Custom software development
• Mobile application development
• AI/ML solutions
• Enterprise software solutions
• Cloud architecture and migration
• Technical consulting and advisory

Specific service details, deliverables, timelines, and pricing will be outlined in individual project agreements or statements of work (SOW).

2. Engagement and Project Terms

Project Agreements

All project engagements are governed by separate project agreements or SOWs that specify scope, timeline, deliverables, pricing, and payment terms. These project agreements form part of these Terms.

Changes to Scope

Any changes to the agreed project scope must be documented in writing and agreed upon by both parties. Scope changes may affect timelines and costs.

3. Payment Terms

• Payment schedules and terms are specified in individual project agreements
• Invoices are due within the timeframe specified in the agreement (typically Net 15 or Net 30)
• Late payments may incur interest charges as specified in the project agreement
• We reserve the right to suspend work on overdue accounts

4. Intellectual Property

Client Ownership

Upon full payment, clients own the intellectual property rights to custom code and deliverables created specifically for their project, unless otherwise stated in the project agreement.

Our Rights

We retain ownership of:

• Pre-existing tools, frameworks, and libraries we use in development
• General knowledge, skills, and methodologies
• Reusable components and code libraries (unless exclusively licensed)
• The right to use general concepts and techniques in other projects

Third-Party Software

Projects may incorporate open-source or third-party software subject to their respective licenses. We will disclose any such dependencies in project documentation.

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement, including but not limited to:

• Business strategies and plans
• Technical specifications and source code
• Financial information
• Customer data and databases

Confidentiality obligations survive termination of the engagement for a period of 2 years.

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• We do not guarantee that software will be completely error-free
• We provide a warranty period (typically 30-90 days post-delivery) for bug fixes
• Beyond the warranty period, maintenance and support are available under separate agreements

DISCLAIMER: Except as expressly stated herein, services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability shall not exceed the amounts paid for the specific services giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, revenue, data, or business opportunities

8. Termination

Either party may terminate an engagement:

• With 30 days' written notice for convenience
• Immediately upon material breach by the other party (with 14 days to cure)
• Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, client shall pay for all work completed up to the date of termination.

9. Website Use

By using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Introduce viruses, malware, or other harmful code
• Scrape, copy, or reproduce website content without permission
• Interfere with the proper functioning of the website

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
